Terms and Conditions
1. Who we are
These Terms and Conditions ("Terms") are issued by Infinity IT Solutions Limited, a company incorporated in the Hong Kong Special Administrative Region under Business Registration No. 79533793, with its registered address at 7/F, MW Tower, 111 Bonham Strand, Sheung Wan, Hong Kong ("Infinity", "we", "us", "our").
We carry on two lines of business: (a) software development and related IT services for business clients, and (b) payment collection services, under which we collect payments from end customers on behalf of digital platforms that have appointed us as their payment collection agent.
2. Scope and acceptance
These Terms apply to:
- your use of the website infinityitsol.com (the "Website");
- any payment that you make which is collected by Infinity on behalf of a Partner Platform (see section 4), whether the payment is initiated in the Partner Platform's mobile application, website or another channel; and
- software development and related services that we provide to business clients, to the extent not otherwise covered by a signed agreement (see section 5).
By using the Website, by confirming a payment that is collected by Infinity, or by engaging us for services, you agree to these Terms. If you do not agree, do not use the Website, do not confirm the payment and do not engage us.
Where you are a consumer, nothing in these Terms limits any right you have under mandatory consumer protection law of the country in which you live.
3. Definitions
- "Partner Platform" or "Partner" means a business that has appointed Infinity as its payment collection agent under a written agency agreement. At the date of these Terms the Partner Platform is DodoGo, a ride-hailing service in the Republic of Mauritius operated by Software for Humanity Ltd ("DodoGo"), available at dodogo.mu. We may add Partner Platforms over time; each Partner Platform is identified in its own app or website at the point of payment.
- "Partner Service" means the goods or services that the Partner Platform provides to you, for example a ride booked in the DodoGo app.
- "Payment Service Provider" or "PSP" means the licensed payment institution and acquiring bank through which card payments are processed. The PSP operates the payment form in which card details are entered.
- "Client" means a business that engages Infinity for software development or related services.
- "You" means the person using the Website, paying for a Partner Service, or the Client, as the context requires.
4. Payment collection services
4.1 Our role
For each Partner Platform, Infinity acts as a limited payment collection agent. This means that we accept payment from you on behalf of and in the name of the Partner, and we then settle the funds to the Partner in accordance with our agreement with the Partner.
A payment that you make to Infinity for a Partner Service is treated as a payment made directly to the Partner. Once the PSP confirms that your payment has been received by Infinity, your payment obligation to the Partner for that transaction is discharged, and the Partner may not require you to pay again, regardless of whether or when Infinity settles the funds to the Partner.
4.2 What we are not
Infinity is not a party to the contract between you and the Partner for the Partner Service. We do not provide the ride, delivery or other service; the Partner does. The description, price, availability, quality, timing and performance of the Partner Service are the Partner's responsibility and are governed by the Partner's own terms of service, which are shown to you in the Partner's app or website before you order.
Infinity is not a bank, is not a deposit-taking institution and does not hold funds for you. Card payments are processed by the PSP, which is a licensed payment institution and is certified under the PCI DSS standard. Your card details are entered in the PSP's secure payment form and are not stored by Infinity.
4.3 How a payment works
- You order a Partner Service in the Partner's app. The Partner shows you the price and its terms before you confirm.
- When payment is due, the PSP's payment form is shown inside the Partner's app. The form identifies Infinity IT Solutions Limited as the entity collecting the payment on behalf of the Partner.
- You confirm the payment. The PSP authorises and captures the amount from your card, or a pre-authorisation hold may be placed and later captured for the final amount (for example when the final fare is known at the end of a ride).
- Infinity receives the funds from the PSP and settles them to the Partner. Our service fee is paid by the Partner out of that amount and is never added to the price you pay.
4.4 Saved payment methods
If you choose to save a card in the Partner's app, the card is stored as a token by the PSP. Infinity and the Partner only see a masked card number (for example the last four digits), the card brand and expiry month. Charges to a saved card are made only for Partner Services that you have ordered, including any cancellation fee that the Partner's terms allow. You can remove a saved card in the Partner's app at any time.
4.5 Failed and declined payments
If a payment is declined by your bank or the PSP, the Partner may cancel the order or ask you to use another payment method. We are not responsible for any loss arising from a declined payment, bank charges, or a hold placed on your card by your bank.
5. Software development services
Software development, design, maintenance, dedicated team and related services are provided to Clients under a written agreement (master services agreement, statement of work, proposal or order confirmation accepted by both sides) ("Services Agreement"). If there is a conflict between a Services Agreement and these Terms, the Services Agreement prevails.
Unless the Services Agreement says otherwise:
- fees are quoted in the currency stated in the proposal and are payable within 14 days of the invoice date;
- work is delivered in milestones described in the Services Agreement, and each milestone is accepted when the Client confirms acceptance in writing or starts using the deliverable in production, whichever comes first;
- intellectual property in the deliverables passes to the Client when the fees for the relevant deliverable have been paid in full; until then the Client has a licence to use the deliverable for evaluation only;
- we may use open-source components and our own pre-existing tools and libraries; we keep ownership of those and grant the Client a perpetual, non-exclusive licence to use them as part of the deliverable;
- we warrant that deliverables will materially conform to the agreed specification for 30 days after acceptance, and our sole obligation under that warranty is to correct the non-conformity;
- either side may terminate a Services Agreement for an uncured material breach on 14 days' written notice; the Client pays for work performed up to the termination date.
6. Prices, currency and card statements
Partner Services. The price of a Partner Service is set by the Partner and shown in the Partner's app before you confirm. Infinity does not add a fee to the amount you pay: our service fee is charged to the Partner, not to you. Prices for DodoGo rides are shown in Mauritian rupees (MUR); if your card is issued in another currency, your bank converts the amount at its own rate and may charge a foreign transaction fee, which is outside our control.
Card statement descriptor. Payments collected by Infinity appear on your card statement under the name INFINITY IT SOLUTIONS, followed by the Partner name where the card network and your bank display it (for example "INFINITY IT SOL*DODOGO"). If you do not recognise a charge, contact us at info@infinityitsol.com before raising a dispute with your bank; we will identify the transaction for you within 2 business days.
Taxes. Prices shown by the Partner include any applicable VAT or similar tax unless the Partner states otherwise. Fees for development services are exclusive of taxes, which are added where applicable.
7. Refunds, cancellations and disputes
Refunds for Partner Services are governed by the Partner's cancellation and refund rules and by our Refund Policy. In short: the Partner decides whether a refund is due under its rules; Infinity executes approved refunds to the original payment method. Refunds for development services are governed by section 5 and the Refund Policy.
If you intend to dispute a charge with your card issuer (a chargeback), we ask that you contact us or the Partner first. Most issues, such as a duplicate charge or a cancelled ride that was still charged, are resolved by a refund within a few business days. We will respond to any chargeback with the transaction records available to us and to the Partner.
8. Your obligations
When paying for a Partner Service you confirm that:
- you are at least 18 years old and have the legal capacity to enter into a binding contract;
- you are the cardholder or are authorised by the cardholder to use the card;
- the information you provide to the Partner and to the PSP is accurate;
- you will not use the payment service for any unlawful purpose, to launder money, to test stolen cards, or in a way that could damage the PSP, the Partner or Infinity.
We and the Partner may refuse, hold or reverse a payment that we reasonably believe to be fraudulent, unauthorised or in breach of these Terms, and may report it to the PSP, the card networks and law enforcement.
9. Personal data
We process personal data as described in our Privacy Policy. For payments collected on behalf of a Partner, both Infinity and the Partner process your data, each for its own purposes: the Partner to provide the Partner Service, Infinity to collect, reconcile, refund and account for the payment. Card details are processed by the PSP under its own privacy terms.
10. Intellectual property
The Website and its content, including text, design, logos and code, belong to Infinity or its licensors. The DodoGo name and logo belong to DodoGo and are used with permission. You may view and print pages of the Website for personal, non-commercial use. Any other use requires our written consent.
11. Warranties and liability
The Website is provided "as is". We do not promise that it will be available without interruption or free of errors.
For payment collection services, our responsibility is limited to collecting the payment correctly, keeping an accurate record of it, settling it to the Partner and executing approved refunds. We are not liable for the Partner Service itself, for the acts or omissions of the Partner, the PSP, card networks or your bank, or for any delay or failure caused by events outside our reasonable control.
To the fullest extent permitted by law, our total liability to you in connection with any payment collected by us is limited to the amount of that payment, and our total liability to a Client under a Services Agreement is limited to the fees paid by the Client under that Services Agreement in the 12 months before the claim arose. We are not liable for indirect or consequential loss, loss of profit, loss of data or loss of business.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded by law.
12. Indemnity
You agree to compensate Infinity for any loss, cost or claim (including reasonable legal fees, chargeback fees and PSP penalties) that we suffer because of your breach of these Terms, your fraudulent or unauthorised use of a payment method, or your unlawful use of the Website.
13. Suspension and termination
We may suspend or stop collecting payments from a particular card or person where we reasonably suspect fraud, abuse or a breach of these Terms, or where the PSP or a card network requires it. The Partner may separately suspend or close your account under its own terms. Sections 7, 9, 10, 11, 12 and 15 survive termination.
14. Changes to these Terms
We may update these Terms from time to time. The current version, with its effective date, is always published at infinityitsol.com/terms. Changes apply to payments made and services ordered after the effective date. If a change materially reduces your rights, we will give at least 14 days' notice on the Website before it takes effect.
15. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute that cannot be settled by discussion within 30 days may be brought before the courts of Hong Kong, which have non-exclusive jurisdiction. If you are a consumer, you also keep the right to bring a claim in the courts of the country where you live and to rely on the mandatory consumer protection rules of that country.
